Foundations - Associations - Non-profit status

Many non-profit social institutions have their origins in civic or church initiatives of past centuries and are still organized as registered associations or foundations with legal capacity due to their own history.

Just as the providers of social services have grown over the years and gradually expanded, specialized and professionalized their range of services, the economic, social and regulatory requirements for the operation of social institutions in almost all areas of the social sector have also steadily increased. The original organizational structures often no longer meet today's requirements for the management of a large social institution.

Together with the committees and responsible parties of associations and foundations, we develop design proposals and concrete roadmaps, taking into account the particular founding history, in order to modernize the legal organizational structures in accordance with the non-profit status while at the same time preserving the identity of the institution.

Our advice and activities focus on foundation, association and non-profit law:

  • Establishment of foundations and associations

  • Drafting and modernizing articles of association

  • Establishment and expansion of corporate structures under company law (transformations, mergers, spin-offs, etc.)

  • Non-profit law issues in the areas of commercial business operations, asset management and special-purpose operations, use of funds

  • Coordination with financial and supervisory authorities (state/church) and, if applicable, associations

  • Adaptation and optimization of procedures and decision-making processes (e.g. rules of procedure for management boards and/or supervisory bodies)

  • Employment contracts for full-time board members

  • Liability issues

  • Ecclesiastical law issues for church associations and foundations

In addition, we have many years of experience in providing day-to-day legal advice to board members and managing directors.
